PyneHub Developer Agreement & Contributor License Agreement (CLA)

This Developer Agreement and Contributor License Agreement ("Agreement") is between you ("Developer", "you") and PyneHub ("PyneHub", "we", "us"). It applies to every app, package, code, icon, metadata, and other material you upload, publish, or otherwise submit to PyneHub (each, a "Contribution").
You must accept this Agreement before you are granted upload access. Acceptance is recorded electronically with a timestamp, your account id, your IP address, and the Agreement version (see "Consent to logging and audit").
This is a template. Have it reviewed by qualified legal counsel and set the governing law before production use.
1. Definitions
- Contribution — any material you submit to PyneHub for publication or inclusion, including apps, source code, binaries, icons, and metadata.
- Apache-2.0 — the Apache License, Version 2.0, under which PyneHub
platform code is licensed (see
/LICENSE).
2. Representations and Warranties
You represent and warrant, for each Contribution, that:
- Ownership / right to submit. You are the original author or you otherwise have all rights necessary to submit the Contribution and to grant the licenses in this Agreement, and the Contribution does not infringe or misappropriate any third party's intellectual property, privacy, or other rights.
- Third-party materials. Any third-party components in your Contribution are clearly identified and licensed under terms compatible with Apache-2.0, and you have complied with those terms (including attribution).
- Not malware. The Contribution is not malware and contains no virus, backdoor, spyware, ransomware, cryptominer, hidden data exfiltration, or other intentionally harmful, deceptive, or unauthorized functionality.
- Legal compliance & export control. The Contribution and your distribution of it comply with all applicable laws, including export control, sanctions, and privacy laws. You are not located in, and will not distribute to, an embargoed jurisdiction or a sanctioned party, and the Contribution is not subject to export restrictions that you have not satisfied.
- Accuracy. The metadata you provide (name, version, description, author, category, license) is accurate and not misleading.
3. License Grant to PyneHub (Apache-2.0 compatible)
You retain ownership of your Contribution. You hereby grant PyneHub and recipients of software distributed through PyneHub a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, host, and distribute your Contribution, in source or object form, for the purpose of operating PyneHub and distributing your app to users.
You also grant a patent license on the same terms as Section 3 ("Grant of Patent License") of Apache-2.0 for claims necessarily infringed by your Contribution. This grant is intended to be compatible with, and no broader than necessary alongside, Apache-2.0. Where you publish your app under its own open-source license, that license also applies to end users; nothing here reduces rights users receive under that license.
4. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless PyneHub and its maintainers, officers, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Contribution; (b) your breach of any representation, warranty, or obligation in this Agreement; or (c) your violation of any law or third-party right.
5. Consent to Logging and Audit
You acknowledge and consent that PyneHub logs and audits your use of the
developer panel and the lifecycle of your Contributions, including timestamps,
file identifiers, app/version identifiers, file hashes (e.g., SHA-256), IP
addresses, device identifiers, and the actions performed. You consent to the
processing and retention of this data as described in
legal/PRIVACY_POLICY.md and legal/pynehub.config.yaml, for security,
integrity verification, abuse prevention, and audit. You further consent that
PyneHub may review, scan, quarantine, or remove Contributions per the
Security Policy and the Terms/AUP, including emergency removal for suspected
malware.
6. No Obligation; Removal
PyneHub is not obligated to publish or continue hosting any Contribution and may decline, remove, or quarantine any Contribution at its discretion, including to comply with law or protect users.
7. Disclaimer
Except as expressly stated, the Service is provided "AS IS" without warranties of any kind. Your Contributions are your responsibility.
8. Term and Termination
This Agreement applies as long as you have a developer account or any Contribution remains hosted. The license grants in Section 3 survive termination with respect to Contributions already distributed. Sections 2 (as to past Contributions), 4, 5, 7, and 9 survive termination.
9. Governing Law

10. Acceptance
By checking the acceptance box in the developer onboarding flow, or by uploading a Contribution, you agree to this Agreement.
